Terms & Conditions
1. Contractual Agreement This agreement outlines the terms under which Voyago (“we” or “us”) shall provide services as outlined in our Service Proposal (“Services”). The prices in our Service Proposal constitute the "Price" for these Services. Our website and Proposal serve as an invitation to treat, not an offer; thus, a contract is formed only upon our acceptance of your request through confirmation.
2. Service Specification You acknowledge that:
The scope and limitations of the Services are clear to you.
The Services meet your business requirements, based solely on our Service Proposal.
3. Adjustments in Pricing The Price is as stated in our Service Proposal. We reserve the right to modify our prices, with a 28-day email notice for any changes.
4. Payment Terms and Tax Compliance Payment for Services, including GST/VAT at the current rate, is due as per the agreed terms. Credit card or direct debit payments are accepted, with applicable surcharges for credit card use. International clients exempt from GST/VAT must provide proof of residency.
5. Consequences of Late Payments Late payments may result in service suspension or agreement termination. Late payment fees are as follows:
$100 for delays of 6 days,
$150 for delays beyond 12 days,
Possible suspension for delays over 20 days. Termination due to non-payment requires payment for the full month of cancellation and an additional month's fee.
6. Agreement Termination Termination requires one month's written notice. For your cancellation to be effective, provide:
Identification and authorization proof,
The specific service to be cancelled,
Compliance with the minimum 12-month subscription period. Immediate termination may occur for non-compliance with these terms.
7. Refund Policy Early termination does not entitle you to a refund.
8. Service Interruptions We aim to minimize disruptions and will provide advance notice when possible. However, we are not liable for interruptions beyond our control.
9. Domain Name Transfer Transferring a domain name may incur charges and take 1-10 days.
10. Technical Support We offer technical support within our expertise via our Support Portal, without guaranteeing immediate or comprehensive support.
11. Anti-SPAM Policy Prohibited activities include using our network for SPAM or UCE.
12. Intellectual Property We retain all intellectual property rights for materials used in providing the Services.
13. Usage Limits Exceeding contracted data limits may result in additional charges.
14. Confidentiality Agreement Both parties commit to confidentiality regarding each other's business operations and proprietary information.
15. Security Obligations You agree to adhere to our security protocols and avoid compromising system security.
16. Disclosure Rights We may disclose your information to legal authorities upon request.
17. Updating Contact Information You are responsible for keeping your contact details current.
18. Liability Limitation Our liability is limited to the fees paid in the preceding 12 months, excluding indirect losses.
19. Additional Clause for On-Charged Costs All additional costs, such as integration connection fees or essential travel expenses, will be on-charged to you. These costs will always be discussed and agreed upon before incurring them.
20. Indemnification You agree to indemnify us against all liabilities arising from your website's content, legal non-compliance, or intellectual property breaches.
21. Agreement Succession This agreement is binding on successors but is non-transferable without our written consent.
22. Dispute Resolution Disputes should be settled through mediation before legal proceedings.
23. Waiver Failure to enforce any terms at any time does not waive our right to enforce them later.
24. Governing Law This Contract is governed by New Zealand law and subject to the jurisdiction of its courts.
